Strategy launches a $44.1 billion ATM issuance plan, adding three new sales agents
Strategy submitted an 8-K filing to the SEC, disclosing the addition of Moelis & Company, A.G.P./Alliance Global Partners, and StoneX Financial as full sales agreement agents on March 23, and simultaneously launching three new ATM issuance programs: Class A common stock (ticker: MSTR) with a maximum issuance size of $21 billion, variable rate perpetual preferred stock STRC with a maximum issuance size of $21 billion, and 8% perpetual preferred stock STRK with a maximum issuance size of $2.1 billion.
At the same time, the company increased the authorized shares of STRC preferred stock from 70,435,353 shares to 282,556,565 shares, and decreased the authorized shares of STRK preferred stock from 269,800,000 shares to 40,270,744 shares. The original STRK preferred stock old issuance program was terminated on March 22.
